TERMS & CONDITIONS OF BUSINESS
Future Form Manufacturing Limited
1. Definitions
In these conditions:

“Company” means Future Form Manufacturing Limited
-
“Customer” means the person, firm or company purchasing goods and/or services
-
“Goods” means any products supplied by the Company
-
“Services” means design, consultancy, project management, manufacturing or related services
-
“Contract” means any agreement between the Company and the Customer incorporating these terms
-
“Order” means any instruction or request by the Customer for Goods or Services
2. Basis of Contract
-
These Terms & Conditions apply to all contracts and override any terms proposed by the Customer unless agreed in writing.
-
Any quotation issued by the Company is valid for 30 days unless stated otherwise.
-
A Contract is formed when the Company accepts an Order in writing or begins work.
-
These Terms constitute the entire agreement between the parties.
3. Services
-
The Company provides design, engineering, manufacturing and project management services.
-
All work is carried out with reasonable skill and care in accordance with industry standards.
-
The Company may subcontract elements of production or installation where appropriate.
4. Specifications & Design
-
All drawings, visuals, samples and specifications are indicative unless confirmed in writing.
-
The Company reserves the right to make reasonable design or material changes where necessary.
-
Where Goods are produced to Customer specifications, the Customer is responsible for ensuring accuracy and suitability.
-
The Customer warrants that any designs provided do not infringe third-party intellectual property rights.
5. Intellectual Property
-
All designs, drawings, concepts, and materials created by the Company remain its property unless otherwise agreed in writing.
-
The Company retains copyright and all intellectual property rights.
-
The Customer is granted a licence to use the final delivered Goods for their intended purpose only.
6. Prices
-
Prices are exclusive of VAT and delivery unless stated otherwise.
-
The Company reserves the right to adjust pricing where costs increase due to:
-
materials
-
labour
-
transport
-
exchange rates
-
-
Additional work outside the agreed scope will be charged separately.
7. Payment Terms
-
Unless otherwise agreed:
-
New customers: pro-forma payment
-
Account customers: 30 days from invoice date
-
-
The Company reserves the right to:
-
request stage payments
-
suspend work for non-payment
-
-
Interest may be charged on overdue amounts at 3% above the Bank of England base rate.
8. Delivery
-
Delivery dates are estimates only and not guaranteed.
-
The Company will not be liable for delays caused by:
-
suppliers
-
materials
-
transport
-
Customer delays
-
-
Risk passes to the Customer upon delivery or collection.
9. Installation & Site Conditions
-
Where installation is included, the Customer must ensure:
-
safe and suitable site access
-
readiness of the location
-
-
Delays caused by site conditions may result in additional charges.
10. Cancellation
-
Orders may not be cancelled without written agreement from the Company.
-
Where cancellation is accepted, the Customer is liable for:
-
work completed
-
materials purchased
-
any losses incurred
-
-
The Company may charge a cancellation fee of up to 10% of the contract value.
11. Retention of Title
-
Ownership of Goods remains with the Company until full payment is received.
-
The Company reserves the right to recover Goods if payment is not made.
12. Liability
-
The Company’s liability is limited to the value of the Contract.
-
The Company shall not be liable for:
-
indirect or consequential losses
-
loss of profit or business
-
-
Nothing excludes liability for death or personal injury caused by negligence.
13. Loss or Damage
-
Claims for damaged or missing Goods must be made:
-
within 3 days (carrier delivery)
-
within 7 days (Company delivery)
-
-
The Company’s liability is limited to repair or replacement.
14. Confidentiality
-
All designs, drawings and information provided by the Company are confidential.
-
The Customer must not disclose or use such information outside the Contract.
15. Force Majeure
The Company shall not be liable for failure or delay due to events beyond its control, including:
-
supplier failure
-
material shortages
-
strikes or industrial action
-
transport disruption
-
acts of God
16. Termination
The Company may suspend or terminate the Contract if the Customer:
-
fails to pay
-
becomes insolvent
-
breaches these Terms
The Company is entitled to payment for all work completed up to termination.
17. Assignment
The Company may assign or subcontract its obligations.
The Customer may not assign the Contract without written consent.
18. Data Protection
The Company processes personal data in accordance with its Privacy Policy available at:

19. Governing Law
These Terms are governed by the laws of England and Wales.
Any disputes will be subject to the exclusive jurisdiction of those courts.

Acceptance
By placing an order with Future Form Manufacturing Limited, the Customer confirms acceptance of these Terms & Conditions.
